Business owners considering a foreign registration may consider the Delaware LLC legal entity.

Business owners may obtain information about Delaware Limited Liability Companies from the State of Delaware Division of Corporations.

If you form an LLC in a different state than you conduct your primary business, you will need to have additional registration in your state as a foreign LLC. There are occasionally advantages if your state has higher fees to forming in Delaware.

There may also be an option to save on income taxes by having the local company provide consulting services out of state, since Delaware does not have an income tax on LLCs (avoids state but not federal income tax).
