There are some best practices for holding an LLC Members Meeting.
Meetings need to have proper notice or have noticed waived. The formality of the notice that is required varies based on whether it is a regular meeting in the Operating Agreement or whether it is a special meeting. The secretary or another officer should distribute the meeting agenda with detailed attachments and any proposed prewritten resolutions.
At the meeting (could be by phone, video, or computer, with proper identification), quorum should be determined.
The secretary or president should open and preside over the LLC Members Meeting.
