As a separate legal entity, there is a formal process which determine when a decision is made on behalf of an LLC. There are at least 3 methods by which an LLC can make a decision.
The LLC can schedule a meeting, with proper notice and if there is a quorum, a decision can be made at the meeting and recorded in the minutes.
The LLC can record minutes as if a meeting was held (on paper only), recording what decisions were made as if they were made at a meeting. Most often this is the method used by a single member LLCs since having a meeting can legally speaking happen inside the member’s head, though it may also be useful for the sole member to meet with his or her business advisors, whether or not that will be considered the official annual meeting for the purposes of the legal documents.
When a decision is not controversial and all members consent to the decision, it is not necessary to hold a meeting of the LLC Members. All members need to sign and return a written consent.
