When an LLC is managed by managers, the members typically have reserved the decision-making authority for certain types of decisions including:

  • Election of managers
  • Amendments to Articles of Organization (charter)
  • Amendments to Operating Agreement (constitution)
  • Issuance of new membrship
  • Admission of a new member
  • Dissolution of the LLC

These tend to be the default rules, and can be varied by the Operating Agreement.
